Tiivistelmä
Tässä tutkimuksessa keskitytään pohjoismaisen perheyhtiön sisäisen valvonnan toimivuuteen sekä corporate governance -rakenteeseen. Perheyhtiöille on tyypillistä omistuksen keskittyminen, mikä heijastuu suoraan yhtiön hallintaan sekä tätä kautta sisäisen valvonnan toimivuuteen. Tutkimus suoritetaan laadullisena tapaustutkimuksena ja käytettävä aineisto koostuu haastatteluista ja kohdeorganisaatiosta kerätystä polttoainevarastoaineistosta.
Tutkimuksen empiirinen osuus muodostuu kahdesta osiosta. Ensimmäisessä osassa tarkastellaan St1 Nordic -konsernin kahden tytäryhtiön varastojenhallintaprosesseja sekä arvioidaan näiden toimivuutta. Tutkimuksessa nämä prosessit kuvaavat sisäisen valvonnan toimivuutta tai toimimattomuutta. Empiirisen osuuden toinen vaihe kostuu kohdekonsernin työntekijöiden haastatteluista. Aineisto on kerätty puolistrukturoituna haastatteluna ja aineiston analyysi tapahtuu sisällönanalyysinä. Haastatteluiden tarkoituksena on selvittää konsernin corporate governance -käytäntöjä sekä sisäisen valvonnan logiikkaa.
Tutkimuksessa havaitaan, että puutteet yleisesti hyväksytyissä corporate governance -käytännöissä eivät saa aikaan toimimattomuutta tai heikkouksia sisäisessä valvonnassa. Vaikka perheyhtiön sisäisen valvonnan logiikka ja corporate governance saavat vaikutteita perheenjäsenten omista arvoista, muuttuvat ne ajan mittaan yhteiskunnassa vallitsevia käytänteitä heijasteleviksi toiminnan riittävästi laajentuessa. This thesis explores the level of internal control and corporate governance practices in a Nordic family firm. In family firms, ownership is typically concentrated which directly is reflected in the company’s management and in the way internal control functions in general. This research is carried out as a qualitative case study and the research material consists of interviews and fuel inventory data that was collected in the target company.
The empirical part of the study consists of two sections. The first section examines inventory management processes and their functionality in St1 Nordic Group’s two subsidiaries. In this study these processes describe functioning or failure of the internal control. The second section of the empirical part consists of interviews of the target company’s employees. The data is collected with semi-structured interviews and it’s analysed through content analysis. The purpose of the interviews is to find out the Group's corporate governance practices and the logic of internal control.
The research observes, that the shortcomings in generally accepted corporate governance practices do not result in failures or weaknesses in internal control. Although the logic of the family firm's internal control and corporate governance is influenced by family members’ values, the logic changes and thus reflects the prevailing practices in society as the business expands.
