Tiivistelmä
Yritysostoon tarkoitettujen erillisyhtiöiden listautumisten määrä on kasvanut räjähdysmaisesti perinteisten listautumisantien rinnalla. Yhdysvalloissa niiden vuosittainen määrä on jo ohittanut perinteiset listautumisannit. Sijoituskohteena yritysostoihin tarkoitetut erillisyhtiöt ovat hankala kohde, sijoittajat ovat täysin yhtiön johdon kokemuksen ja osaamisen armoilla, eivätkä tiedä sijoittaessaan yhtiöön, mikä sen kohdeyhtiö tulee olemaan. Myös Euroopassa on havaittavissa samanlaista kasvua yritysostoon tarkoitettujen erillisyhtiöiden suosiossa, kuitenkin ennen vuotta 2019 Euroopassa on ollut huomattavasti vähemmän tällaisia yhtiöitä. Tämän kandidaatintutkielman tavoitteena on selvittää, miten eurooppalaiset vuosina 2013–2019 sulautuneet yritysostoon tarkoitetut erillisyhtiöt ovat suoriutuneet sulautumisen jälkeen. Lisäksi tutkielmassa tarkastellaan lähes kaikkien Euroopassa 2013– 2021 listautuneiden yritysostoon tarkoitettujen erillisyhtiöiden tilannetta ja syitä mahdollisille epäonnistumisille tavoitteessaan sulautua kohdeyhtiön kanssa.
Tutkimustulosten perusteella voidaan sanoa tutkimuksessa käytetyn vertailuindeksin, STOXX 600 indeksin tarjonneen parempaa tuottoa kaikilla valituilla aikaväleillä, kuin yritysostoon tarkoitetuista erillisyhtiöistä tutkimusta varten muodostettu portfolio. Muutamat portfolion yhtiöistä olisi kuitenkin yksittäin tarjonnut selkeästi vertailuindeksiä parempaa tuottoa. Yksittäiseen yhtiöön sijoittaessa riski on kuitenkin suhteessa tuottoon erittäin korkea. Yleisimmät syyt yhtiön purkamisen takana olivat epäonnistuminen kohdeyhtiön löytämisessä, ja osakkeenomistajien kielteinen päätös johdon valitsemasta kohdeyhtiöstä äänestettäessä. The number Special Purpose Acquisition Companies (SPACs) has increased significantly alongside the traditional IPOs. In the United States, the number of SPACs listed yearly has even surpassed the traditional IPOs. SPACs are a difficult target for investors as the profit of the investment is mostly dependent of the company's management as they responsible for finding the perfect target company for the SPAC. Similar growth of SPACs can be observed in Europe. Before 2018 there were significantly less SPACs in Europe. The aim of this bachelor's thesis is to examine the post-merger performance of the European SPACs. In addition, this thesis examines the status of almost every European SPAC listed between 2013-2021, and the reasons why some of the SPACs has failed in the acquisition of a target company.
Based on the results of the study the benchmark index used in the study, the STOXX 600 index, provided a better return in the selected time periods than the portfolio of SPACs formed for the study. However, a few of the companies in the portfolio would have provided better returns than the benchmark index. Still, the risk of investing on a single SPAC would be unnecessarily high considering the negative mean return of the portfolio. The most common reasons for the dissolution of the company were the failure to find the target company on time and the rejection of the target company by shareholders through voting.
