Tiivistelmä
Tämän tutkielman tavoitteena on saada syvempi käsitys siitä, miten hyvät hallinnointiperiaatteet toteutuvat johdon palkitsemisessa ja sen raportoinnissa suomalaisten pörssiyhtiöiden osalta. Lisäksi tavoitteena on huomioida laajempi sidosryhmälähtöinen näkökulma. Hallinnointiperiaatteet ovat vastuunalaisuus, tilivelvollisuus, tietoisuus, puolueettomuus ja läpinäkyvyys. Tutkimuksen aineistona ovat yhdeksän suomalaisen pörssiyhtiön palkitsemisraportit ja -politiikat. Aineisto on analysoitu deduktiivisen sisällönanalyysin avulla. Sisällönanalyysin avulla tunnistettiin 15 yläluokkaa ja viisi pääluokkaa.
Hyvä hallintotapa on laajasti säänneltyä. Analyysiyritysten raportointi toteutuu vaaditulla tavalla ja hyvät hallinnointiperiaatteet näkyvät sisällössä. Johdon palkitsemisessa ja sen raportoinnissa korostuvat etenkin tilivelvollisuuden, puolueettomuuden ja läpinäkyvyyden vaikutus. Yritykset ovat vastuussa päätöksenteon lisäksi niiden lopputuloksista. Mittareita, prosesseja ja päätöksentekorakenteita on avattu raporteissa. Osakkeenomistajien edun ajaminen on analyysiyrityksille keskeisin tavoite, mikä tukee agenttiteorian periaatteita. Palkitseminen on sidottu suoriutumiseen ja osakkeenomistajien arvon kasvattamiseen. Laajempaa sidosryhmänäkökulmaa ilmentää sisäisen oikeudenmukaisuuden arviointi sekä ESG-tekijöiden huomioiminen. Tutkielma vahvistaa näkemystä siitä, että palkitseminen ei ole ainoastaan osa kannustinjärjestelmää vaan hallinnollinen ohjausmekanismi. Tutkielma tuottaa systemaattista, mutta kontekstisidonnaista tutkimustietoa suomalaisista pörssiyhtiöistä, joissa hallinnointikoodin rooli on keskeinen ja sääntelykehys muutenkin on vahva. Näiden ansiosta raportointivelvoitteet ja -käytännöt ovat vakiintuneita, ja raportoinnin vapaamuotoisuus lisää joustavuutta. The aim of this thesis is to obtain a better understanding of how good governance principles are implemented in executive remuneration and its reporting withing Finnish listed companies. In addition, the study adopts a broader stakeholder-oriented perspective. The governance principles examined are responsibility, accountability, awareness, impartiality and transparency. The empirical material consists of the remuneration reports and the remuneration policies of nine Finnish companies. The data were analyzed using deductive content analysis, through which fifteen generic categories and five main categories were identified.
Good corporate governance is extensively regulated. The reporting practices of the case companies comply with applicable requirements, and the good governance principles are clearly reflected in the content. In executive remuneration and its reporting, particular emphasis is placed on accountability, impartiality, and transparency. Companies are responsible not only for decision-making processes but also for their outcomes. Performance metrics, processes, and decision-making structures are described in the reports. Promoting shareholder interests emerges as the primary objective of the analyzed companies, thereby supporting the assumptions of agency theory. Remuneration is linked to performance and the creation of shareholder value. A broader stakeholder perspective is reflected in the assessment of internal pay equity and the consideration of ESG factors. The thesis reinforces the view that remuneration is not merely a component of an incentive system but also a governance mechanism. It provides systematic yet context-specific research evidence on Finnish listed companies, in which the role of the Corporate Governance Code is central, and the overall regulatory framework is robust. As a result, reporting obligations and practices are well established, while a degree of flexibility in reporting enhances adaptability.
